Tata Capital IPO: Tata Capital is gearing up for its much-awaited initial public offering (IPO), expected to raise around $2 billion (over Rs 17,000 crore). The listing will mark a significant milestone not just for the Tata Group, but also for India’s financial sector. Here’s a detailed look at all the key aspects of the issue.

Tata Capital IPO Opening Date

The Tata Capital IPO is likely to open in the first half of October 2025, according to a PTI report citing people familiar with the matter. Earlier, the Reserve Bank of India (RBI) had directed the non-banking finance company (NBFC) to complete its listing by September 30, but the timeline has now been extended for procedural reasons.

Tata Capital IPO: Price Band and Lot Size

The price band for the Tata Capital IPO has not yet been announced. It will be revealed closer to the opening date. Similarly, the lot size — the minimum number of shares that retail investors can bid for — will also be disclosed in due course.

Tata Capital IPO GMP Today

Since the IPO price band is yet to be announced, the grey market premium (GMP) is not available. GMP trends will likely emerge after the company discloses the pricing details.

Tata Capital IPO: Issue Size and Valuation

Tata Capital plans to raise $2 billion (over Rs 17,000 crore) through the IPO at a valuation of $18 billion. This marks a sharp jump from the $11 billion valuation when the company had filed its confidential IPO papers in April.

If successful, this will be the largest public issue in India’s financial sector and the second-largest IPO overall after Hyundai Motor India’s USD 3.3 billion (Rs 27,870 crore) issue in October 2024.

Tata Capital IPO Structure

According to the updated Draft Red Herring Prospectus (DRHP) filed in August, the IPO will comprise a fresh issue of up to 21 crore equity shares and an offer for sale (OFS) of up to 26.58 crore equity shares. The total issue size is 47.58 crore equity shares.

In the OFS, promoter Tata Sons will divest up to 23 crore shares, while International Finance Corporation (IFC) will sell up to 3.58 crore shares.

Currently, Tata Sons holds 88.6% stake, while IFC owns 1.8% in Tata Capital.

Use of Proceeds

Funds raised from the fresh issue will be used to augment Tier-I capital and fuel future lending growth.

Tata Capital IPO: Financial Performance

Tata Capital has been posting strong financials ahead of the IPO. In Q1 FY26, the company reported a net profit of Rs 1,041 crore, more than double the Rs 472 crore in the year-ago period. Total income rose to Rs 7,692 crore from Rs 6,557 crore in Q1 FY25.
